1. Agreement

By purchasing through Hatcch Homes, the Buyer and Seller (Hatcch Homes Texas, LLC) enter into a legally binding Agreement for the Sale and Purchase of Real Estate for vacant residential land, with no broker or agent involved.

2. Property

The purchased property is identified by its Parcel ID and Legal Description as specified in the contract. The property is sold with all fixtures, landscaping, improvements, and appurtenances. The Buyer accepts the property in its “as-is” condition, having personally inspected it prior to purchase.

3. Sales Price & Payment Options

A. Cash Sale

Full purchase price is paid upfront.
A one-time processing fee is due at signing.
This contract is not contingent on financing.

B. Owner Financing (Terms Sale)

A down payment is made at signing, along with a one-time processing fee.
The remaining balance is financed through a Promissory Note at the agreed interest rate.
Monthly payments include principal & interest, a Note Servicing Fee, and estimated property taxes.
First payment is due 30 days from the contract date.
There are no prepayment penalties — the note can be paid off at any time.
If a payment is late beyond the grace period, a late fee will be assessed.

4. Title & Deed

The Seller holds the Title Warranty Deed until the property is paid in full.
Upon full payment, the Seller will record and deliver a Warranty Deed to the Buyer within 30 days.
The Seller warrants the property to be free of all liens, and that taxes are current.
The Buyer may elect to conduct their own title search at their own expense. A title report is not provided at closing.

5. 90-Day Satisfaction Guarantee

Hatcch Homes offers a 90-day inspection period from the date of down payment. If, for any reason, the Buyer is unsatisfied with the property, Hatcch Homes agrees to either:

Exchange the property for another, or
Refund all monies, minus closing costs, payment fees, and accounting setup fees.

6. Closing Costs

If closing is done directly through Hatcch Homes, there is no closing cost to the Buyer. If closed through a title company, costs are allocated as follows:

7. Taxes

The Seller pays property taxes annually; the Buyer reimburses the Seller each year.
Failure to reimburse within 60 days of the due date may void the contract, making the full remaining balance due within 30 days.
Taxes are prorated through the closing date.

8. Default

Buyer Default: If the Buyer fails to make payments or comply with the contract, the Seller may enforce specific performance or terminate the contract and retain the earnest money as liquidated damages. If a monthly payment is overdue by 35 days, the Buyer will be notified via email and given 30 days to bring payments current. Failure to do so may result in forfeiture of all payments made and repossession of the property.

Seller Default: If the Seller fails to comply, the Buyer may enforce specific performance or terminate the contract and receive a full refund of all earnest/down payment money.

9. Utilities & Environmental

The Buyer accepts the current condition of all utility access. The Seller discloses no known wetlands, flood plains, hazardous substances, petroleum products, or underground storage tanks on the property.

10. Assignment

The Buyer may not assign this agreement without Seller consent.
The Seller may assign this agreement; it is binding on heirs and assigns of both parties.

11. Attorney’s Fees

In any legal proceeding related to this contract, the prevailing party is entitled to recover all costs and reasonable attorney’s fees from the non-prevailing party.

12. Notices

13. Governing Law

This contract is governed by the laws of the State of Texas.

14. Entire Agreement

This contract constitutes the entire agreement between the parties and may only be changed by written consent of both parties. No oral statements or representations outside this contract are binding.
